These Terms and Conditions govern your use of www.mysoti.com (the "Site") and your relationship with Bountee Limited (the "Company", "Mysoti", "we" or "us"). Please read them carefully as they affect your rights and liabilities under the law. If you do not agree to these Terms and Conditions, please do not register for or use the Site. 1.1 The Site is provided to you for your personal use subject to these Terms and Conditions. By using the Site you agree to be bound by these Terms and Conditions.
2.1 We may update these Terms and Conditions from time to time for legal or regulatory reasons or to allow the proper operation of the Site. Any changes will be notified to you via the e-mail address provided by you on registration or via a suitable announcement on the Site and the changes will apply following such notice. If you continue to use the Site after the date on which the change comes into effect, your use of the Site indicates your agreement to be bound by the new Terms and Conditions
3.1 To register on the Site you must be over thirteen years of age.
3.2 You must ensure that the details provided by you on registration or at any time are correct and complete and update any changes to these details in order that we can communicate with you effectively.
4.1 When you register to use the Site you will be asked to create a password. In order to prevent fraud, you must keep this password confidential and must not disclose it or share it with anyone. If you know or suspect that someone else knows your password you should notify us by contacting email@example.com immediately.
4.2 If we have reason to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your password or we may suspend your account.
5.1 You may not use the Site for:
5.1.1 disseminating any unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material or otherwise breaching any laws;
5.1.2 transmitting material that encourages conduct that constitutes a criminal offence, or otherwise breaches any applicable laws, regulations or code of practice;
5.1.3 interfering with any other person's use or enjoyment of the Site; or
5.1.4 making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.
5.2 You will be responsible for our losses and costs resulting from your breach of this clause 5.
6.1 Although we aim to offer you the best service possible, we make no promise that the services at the Site will meet your requirements. We cannot guarantee that the services will be fault-free. If a fault occurs with the Site you should report it to firstname.lastname@example.org and we will attempt to correct the fault as soon as we reasonably can.
6.2 Your access to the Site may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can.
7.1 We may suspend or cancel your registration with the Site immediately at our reasonable discretion or if you breach any of your obligations under these Terms and Conditions.
7.2 You can cancel your registration at any time by emailing us at email@example.com.
7.3 The suspension or cancellation of your registration and your right to use the Site shall not affect either party's statutory rights or liabilities.
8.1 As a convenience to customers, the Site may include links to other web sites or material from time to time which are beyond its control. The Company is not responsible for content on any site outside the Site.
9.1 Part of the Site may contain advertising and sponsorship for third parties. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Site complies with relevant laws and codes. We will not be responsible to you for any error or inaccuracy in advertising and sponsorship material.
10.1 The Site provides content from other Internet sites or resources and while the Company tries to ensure that material included on the Site is correct, reputable and of high quality, it does not make any warranties or guarantees in relation to that content. If we are informed of any inaccuracies in the material on the Site we will attempt to correct the inaccuracies as soon as we reasonably can.
10.2 If we are in breach of these Terms & Conditions, we will only be responsible for any direct losses that you suffer as a direct result to the extent that they are a foreseeable consequence to both of us at the time you use the Site. Our liability shall not in any event include business losses such as lost data, lost profits or business interruption.
10.3 This clause 10 shall not limit or affect our liability resulting from any products sold through the Site being found to be unsafe or if something we do negligently causes death or personal injury.
11.1 These Terms and Conditions will be subject to the laws of England and Wales. We will try to solve any disagreements quickly and efficiently. If you are not happy with the way we deal with any disagreement and you want to take court proceedings, you must do so within the United Kingdom.
12.1 The content of the Site is protected by copyright, trade marks, database right and other intellectual property rights. You may retrieve and display the content of the Site on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes of any of the materials or content on the Site without our consent.
13.1 We make no promise that materials on the Site are appropriate or available for use in locations outside the United Kingdom, and accessing the Site from territories where its contents are illegal or unlawful is prohibited. If you choose to access this site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.
14.1 You may not transfer any of your rights under these Terms and Conditions to any other person. We may transfer our rights under these Terms and Conditions to another business where we reasonably believe your rights will not be affected.
14.3 The Company shall not be responsible for any breach of these Terms and Conditions caused by circumstances beyond its reasonable control.

14.7 If any part of these Terms and Conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these Terms and Conditions will not be affected
15.1 Your order is an offer to buy from us. There will be no contract of any kind between you and us and we will not be bound to you unless and until we accept your offer. At any point up until then, we may decline to supply the goods to you without giving any reason.
15.2 We reserve the right to cancel the contract between us if:-
15.2.1 we have insufficient stock to meet the contract order;
15.2.2 we do not deliver to your area;
15.2.3 we do not have the intellectual property rights required to meet the contract order; or
15.2.4 we are prevented from fulfilling the contract order for any reason beyond our control.
15.3 All prices are expressed inclusive of any VAT (at the applicable rate) payable unless otherwise stated.
15.4 Your credit / debit card details will be encrypted to minimise the possibility of unauthorised access or disclosure. Authority for payment must be given at the time of placing your order.
16.1 If for any reason beyond our reasonable control, we are unable to supply a particular item, we will not be liable to you except to ensure that you are not charged for that item and to re-credit your account with any monies paid by you to us for such item.
17.1 Delivery will be made to the address specified by you on the completed order form.
17.2 We will deliver your order to the main entrance of the delivery address.
17.3 Delivery times and costs will be agreed with you at the time of placing your order. Whilst we make every effort to deliver all your goods in the agreed time, we will not be liable if we fail to do so in part or in full due to circumstances beyond our control.
17.4 You must observe and comply with all applicable regulations and legislation, including obtaining all necessary customs, import or other permits to purchase goods from the Site. The importation or exportation of certain of our goods to you may be prohibited by certain national laws. We make no representation and accept no liability in respect of the export or import of the goods you purchase.
18.1 We hope you will be happy with the items that you buy from us. However, if you want to return the goods due to issues with their quality, you may cancel the contract and send the items back to us within 28 days of receipt for a full refund or exchange as long as the goods are in the same condition as they left our offices.
18.2 Please print out the Exchange and Return Form (Click Here)and fill in the details including the unique reference number that was sent by us with the e-mail confirming your order.
18.3 All goods must be packaged securely. The goods should be returned to us in their original condition. If we do not receive the goods in the same condition that we sent them to you in then we will not be able to offer you a refund or exchange.
18.4 You will be responsible for the cost of returning any item to us unless the item is defective or we have delivered the item to you in error or as a substitute. It is advisable to get proof of postage when returning an item.
18.5 When we receive the goods, we will refund the price paid by you for that item or, at your request, if the item is defective will repair the item or supply you with a replacement item.
18.6 Where you request an exchange, you must pay any fees in respect of any packaging, handling and delivery of the goods to you, unless the goods were returned because they were defective or we are at fault for any reason.
18.7 All of your statutory rights continue in full force.
18.8 If a discount or offer has been applied to any order which you subsequently cancel in part then this discount or offer will no longer apply if you fall below the threshold because you return part of the order.
19.1 You can request cancel or change any of your current orders prior to dispatch by contacting firstname.lastname@example.org.
20.2 This clause 20 shall not limit or affect our liability resulting from any products sold through the Site being found to be unsafe or if something we do negligently causes death or personal injury.
21. Product Creation and Submission of Material
21.1 The Site allows you to submit an illustration, artwork design or text slogan ("Material ") for display on the Site and for incorporation into products to be sold on the Site by us. Whilst we do not control the submission of Material, we do reserve the right to delete, move and edit any Material submitted. Publication will be at our discretion.
21.2 You are solely responsible for the Material that you submit to the Site and by submitting any Material you agree to these Intellectual PropertyTerms and Conditions and our general Terms and Conditions [add link here]. You may not submit any Material which:
21.2.1 is not your original creation;
21.2.2 has been previously used or published by any other party other than you;
21.2.3 advertises or promotes any goods or services;
21.2.4 reveals any confidential or sensitive information;
21.2.5 contains or links to any unlawful, threatening, abusive, defamatory or indecent Material or Material which is deliberately intended to upset other users;
21.2.6 contains any Material which you do not have permission to use (including Material which may be protected by copyright, trade marks, database rights, or any other form of intellectual property);
21.2.7 contains viruses or any other components with harmful or contaminating effects on the Site or any equipment connected to it; or
21.2.8 impersonates any living person.
21.3 The Site offers you a forum to submit Material and you agree to be responsible for all of the Company's losses arising out of any breach by you of these Terms and Conditions.
21.4 You will continue to own all copyright, database right and all other right, title and interest in and to the Material that you submit to the Site. By uploading the Material you grant to us a non-exclusive licence to use, reproduce, transmit and publicly display the Material on the Site and for the purposes of marketing the Site and to manufacture distribute and sell the Products incorporating the Material throughout the world in accordance with these Terms and Conditions and to grant sub-licences to third parties to do the same or to use, reproduce, transmit and publicly display the Material submitted by you on third party web-based services.
21.5 You agree to indemnify and hold the Company harmless from against any losses, liabilities, demands, claims, costs and expenses arising directly as a result of or in connection with any claim that the Material infringes any intellectual property rights of any third party.
21.6 All commission due on the products which we sell, directly or indirectly via third parties which incorporate Material submitted by you will be paid in accordance with our commission terms (see below).
21.7 The Site contains Material submitted by others over which the Company has no control. We have asked all users to follow these Terms and Conditions but cannot guarantee the accuracy, integrity or quality of other Material. We do not endorse any of the Material published by any others on the Site.
21.8 In accordance with the licence granted to us under 21.4 above, we may from time to time choose to use the Material that you have submitted in marketing promotions for mysoti.com and we will try and ensure that you receive full credit for any Material used.
21.9 Upon notice by you to the Company that for whatever reason the Company must discontinue use of any Material submitted by you to the Site, if the Company shall have any remaining stocks of Products or have Products in the course of manufacture or unfulfilled orders for the Products incorporating such Material submitted by you at the time the licence to use such Material is terminated by you it may complete the manufacture of such Products and dispose of such Products and/or remaining stocks in compliance with the terms of these Terms and Conditions but not otherwise.
22.1 The Company uses PayPal to make payments to you. PayPal registration is free.
22.2 You are solely responsible for the accurate supply of your PayPal e-mail address and maintaining its accuracy. Failure to give an accurate e-mail address may lead to you failing to get any payments due to you. Should you require further information on ensuring the correct address, please contact email@example.com.
22.3 Failure to set up a PayPal account and notify the Company of the account details, may lead to the loss of any rights to these commissions payments.
22.4 The Company reserves the right to change their payment method of commission at any point.
23.1 Each time a product incorporating your Material is sold by us, the amount of commission earned by you is processed by us. This information will be detailed within "My Details" in your Account on the Site.
23.2 All commission payments will be based on percentages and therefore will not vary depending on currency i.e. a 10% commission payment on £10.00 will be £1.00 and on $10.00 it will be $1.00.
23.3 All payments due to you from us in respect of commission on products sold by us incorporating your Material will be payable monthly in arrears in the first week of each calendar month in respect of sales made for which payment has been received by the Company in the four weeks to the 20th day of the preceding month.
23.4 No payment of commission shall be due in respect of products sold unless and until the Company has received payment in cleared funds for such products.
23.5 Where your design has been purchased using different currencies, a separate payment in respect of each currency handled will be made.
24.1 You acknowledge and agree that from time to time we may licence Material submitted by you to third parties to use, reproduce, transmit and publicly display on third party web services and where we licence Material submitted by you to the Site for use on third party web services, we will pay a commission to you of ten percent (10%) of the [ net ] revenue received by us in respect of Material submitted by you from such third party web-service provider.
